Wandel & Goltermann and Wavetek Close Merger

Wandel & Goltermann Management Holding GmbH and Wavetek Corporation are closing of the merger between the two companies. The newly created company, Wavetek Wandel & Goltermann, Inc. is the world's second largest communications test company with annual revenues in excess of $450 million.

The company will continue to market its products under both the Wandel & Goltermann and Wavetek brand names, emphasizing Wandel & Goltermann's strength in telecommunications and enterprise networks test equipment and Wavetek's leadership position in the complementary cable television test and wireless communications test markets. By combining the strengths of these two communications test leaders, Wavetek Wandel & Goltermann, Inc. is positioned to provide customers with a complete portfolio of test and measurement products, services, and test solutions for the development, integration, type testing, installation, diagnostics, maintenance, service and operation of voice, video and data communications networks. The company employs over 2,400 people in 11 operating units and 29 sales and service companies, with presence in 87 countries.

The parent company of the combined organization is incorporated in the United States and will operate from dual corporate offices in Eningen, Germany and Research Triangle Park, North Carolina. Terence Gooding, formerly Chairman of the Board and CEO of Wavetek, and Albrecht Wandel, formerly Chairman of the Supervisory Board of WGMH will serve together as Co-Chairmen of the Board of Directors. Peter Wagner, formerly President and Chief Executive Officer at WGMH, is President, Chief Executive Officer and Director.
